Linear Tech recently announced an IC intended for li-ion BMSes, the LT6082. It looks like a nice integration of a lot of functions. Includes:
monitoring of up to 12 series cells
.25% total voltage error max
onboard temp monitoring
communication with an external processor via an SPI interface
on board or offboard cell balancing (via shunt)
two GPIO's for indicators or whatever
built in voltage shifting for expanding to higher voltage packs (i.e. you can add another 12 cells and a second BM IC and just wire them together)
Max total pack voltage >1000V
Take this, a cheap PIC, and some beefy FETs to do a disconnect and you'd have a fairly low parts count BMS.
